Job Description

Ensure compliance with regulatory requirements and governance standards within the power sector industry. Handle secretarial functions, corporate governance and compliance under the Company’s Act 2013 for the organization.

Key Responsibilities

Corporate Governance:

  • Ensure compliance with corporate governance norms, legal frameworks, and regulations as stipulated by authorities such as the Ministry of Corporate Affairs (MCA), Securities and Exchange Board of India (SEBI) or other relevant bodies.
  • Assist in the preparation and filing of annual reports, returns and statutory documents required for corporate governance and company law compliance.
  • Maintain records of board meetings, resolutions and shareholder meetings.
  • Support the company secretary in organizing and managing meetings of the Board of Directors, Committees and Shareholders.

Secretarial Support:

  • Prepare agendas, minutes, and resolutions for Board, Committee and General Body meetings.
  • Ensure that statutory filings, reports and forms are filed within the prescribed timelines (e.g., Annual Returns, financial statements etc.).
  • Maintain statutory registers (such as the Register of Members, Directors etc.) and ensure compliance with relevant laws.

Compliance:

  • Monitor changes in corporate governance affecting the power sector, ensuring that the company adheres to the latest regulations and standards.
  • Ensure compliance with the Companies Act, 2013 (or local corporate laws) and other relevant sector-specific legislation in the power industry.

Record Management and Documentation:

  • Oversee the company’s documentation processes, ensuring that all corporate records (returns, filings, resolutions etc.) are properly archived and easily accessible.
  • Ensure that company secretarial functions are well-documented for auditing and compliance purposes.

Misc. Assignments:

  • Assist with special projects related to compliance, corporate restructuring, mergers, acquisitions or divestitures.
  • Handle any other duties or tasks that may be assigned by the Manager or Company Secretary.

Requirements

  • Qualification : Qualified Company Secretary
  • Industry : Any industry
  • Experience : 3-8 years of post CS experience
  • Skills : The role requires a strong understanding of corporate laws, compliance frameworks and governance principles.
